Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vertix platform, owned and operated by THE HUB INITIATIVE SLU ("Vertix", "we"). By creating an account, you agree to these Terms. Vertix is currently available only to licensed mental health professionals in the United States.

1. Eligibility

You must be:

  • A licensed mental health professional in active practice in the United States (PsyD, PhD, MD, DO, LCSW, LMFT, LPC or equivalent state licensure).
  • At least 18 years of age.
  • Authorized to enter into a binding contract on behalf of yourself or your practice entity.

2. The service

Vertix is a clinical decision support platform. It provides citation-grounded recommendations, multi-paradigm reasoning, documentation drafting, billing automation, and compliance tools. Vertix is qualified as Non-Device Clinical Decision Support under 21st Century Cures Act § 3060 and is not a medical device.

3. Clinician responsibility

You retain full clinical authority and responsibility for every decision made using Vertix. Recommendations are informational. You must independently review every recommendation against your professional judgment, the patient's presentation, and the standard of care in your jurisdiction. Vertix does not replace clinical judgment.

4. Account and security

You are responsible for the security of your account credentials. Notify us immediately of any unauthorized access. We may suspend accounts that violate these Terms, applicable laws, or HIPAA requirements.

5. Subscription, billing, and refunds

  • Plans billed monthly or annually as selected at checkout. Prices in USD.
  • 60-day free trial. No credit card required for trial signup on Solo and Professional plans.
  • 30-day money-back guarantee on first paid month for Solo and Professional plans.
  • Cancel anytime — monthly subscribers retain access through the end of the current billing cycle. Annual subscribers retain access through the end of the paid year.
  • Founding cohort pricing is locked in for the duration of continuous subscription.

6. Acceptable use

You may not:

  • Use Vertix for any purpose other than the lawful clinical practice of mental health.
  • Reverse engineer, scrape, or mass-extract content or evidence from the platform.
  • Resell, sublicense, or share your access with anyone outside your authorized clinical team.
  • Upload data you do not have legal authority to process under HIPAA, state law, or your practice policies.
  • Attempt to identify, track, or monitor any patient outside the legitimate scope of clinical care.

7. Intellectual property

Vertix and its content (excluding your patient data and clinical notes) are owned by THE HUB INITIATIVE SLU. You retain all rights to data you upload. We grant you a non-exclusive, non-transferable license to use Vertix during your subscription.

8. Business Associate Agreement (BAA)

For paid plans, a HIPAA-compliant BAA is included by default. Available from Settings → Compliance → BAA, or by emailing [email protected]. The BAA is incorporated into these Terms by reference for paid users.

9. Disclaimers

The service is provided "as is" and "as available." To the maximum extent permitted by law, Vertix disclaims all warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement. Vertix makes no warranty that any specific clinical outcome will result from use of the platform.

10. Limitation of liability

To the maximum extent permitted by law, the total liability of Vertix for any claim arising from or related to these Terms or the service shall not exceed the amount you paid in the twelve (12) months preceding the event giving rise to the claim. Vertix is not liable for indirect, incidental, consequential, or punitive damages.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved by binding arbitration administered by JAMS in New York, NY, except that either party may seek injunctive relief in court for intellectual property or confidentiality violations.

12. Termination

Either party may terminate these Terms by closing the account. We may suspend or terminate access for material breach with reasonable notice when feasible. On termination, you may export your data within 30 days; thereafter, data is deleted subject to HIPAA retention requirements.

13. Changes

We will notify users of material changes by email at least 30 days before the effective date. Continued use after that date constitutes acceptance.
